1. Sponsor

This Layrite Monthly Giveaway (the “Giveaway” or “Promotion”) is sponsored by Layrite, LLC, a California limited liability company with its principal place of business at 930 West 16th Street, Unit B2, Costa Mesa, California 92627 (“Sponsor”, “we”, “us”, or “our”). This Promotion is in no way sponsored, endorsed, administered by, or associated with Klaviyo, Meta, Google, Shopify, or any platform used to administer or advertise it.

2. Promotion Period & Structure

The Giveaway operates on a recurring monthly basis and will continue until Sponsor announces its discontinuation (the “Promotion Period”). Each calendar month constitutes a separate giveaway cycle (a “Monthly Giveaway Cycle”) with its own featured prize, entry cutoff, and winner. Eligibility does not carry over between Monthly Giveaway Cycles — entering one cycle does not make an entrant eligible for any other cycle; a new entry is required for each cycle as described in Section 4.

Each Monthly Giveaway Cycle begins on the first calendar day of the month and ends at 11:59:59 p.m. Pacific Time on the last calendar day of that same month, unless otherwise stated at layrite.com (each, an “Entry Period”). Entries received after an Entry Period closes will be applied to the next Monthly Giveaway Cycle.

3. Eligibility

The Giveaway is open only to legal residents of the fifty (50) United States and the District of Columbia who are at least eighteen (18) years of age (or the age of majority in their state of residence, if older) at the time of entry. This Promotion is NOT open to residents of U.S. territories (including Puerto Rico, Guam, and the U.S. Virgin Islands) or to residents of any country outside the United States.

Employees, officers, directors, managers, and members of Sponsor, its parent, subsidiaries, and affiliated companies, and their immediate family members (spouse, parent, child, sibling, and their respective spouses, regardless of where they reside) and individuals living in the same household as such persons (whether related or not), are not eligible to participate or win.

A winner of a given Monthly Giveaway Cycle is not eligible to win in the immediately following Monthly Giveaway Cycle. Eligibility to win resumes for that individual beginning with the second Monthly Giveaway Cycle after their win. This restriction applies to winning only and does not affect an individual's ability to enter during their ineligible month.

This Promotion is void where prohibited or restricted by law. By entering, participants represent and warrant that they meet all eligibility requirements stated in these Official Rules.

4. How to Enter

No purchase or payment is necessary to enter or win. To enter, visit layrite.com and submit a valid email address through the Layrite Monthly Giveaway sign-up form (or such other Sponsor-designated entry mechanism as may be offered from time to time) and complete any required confirmation step (e.g., confirming a marketing email subscription).

Entrants must submit a valid, new entry during each Monthly Giveaway Cycle's Entry Period in order to be eligible for that cycle's drawing. Being entered in a prior Monthly Giveaway Cycle does not carry over or otherwise qualify an entrant for any subsequent cycle — entrants who want to remain eligible must enter again each month. Sponsor may, but is not obligated to, remind subscribed entrants by email when a new Monthly Giveaway Cycle's entry period has opened.

Limit: one (1) entry per person, per email address, per household, per Monthly Giveaway Cycle. Multiple email addresses, fake identities, or any other method used to obtain additional entries within a single cycle will void all associated entries and may result in disqualification. Use of automated entry services, scripts, or bots is prohibited and will result in disqualification.

Sponsor is not responsible for entries that are lost, late, misdirected, incomplete, illegible, or not received for any reason, including technical or human error of any kind.

5. Prize, Approximate Retail Value & Odds

Each Monthly Giveaway Cycle, Sponsor will award one (1) prize to one (1) randomly selected winner. The specific prize offered will be identified in that month's promotional materials on layrite.com and/or in Sponsor's marketing emails, and will typically consist of Layrite product(s) and/or Layrite-branded merchandise with an approximate retail value (“ARV”) of between $25 and $100. Sponsor reserves the right, in its sole discretion, to substitute any prize (or portion thereof) with a prize of equal or greater value if the advertised prize becomes unavailable for any reason.

Odds of winning depend on the total number of eligible entries received for that Monthly Giveaway Cycle. Prizes are non-transferable and no cash or other substitution may be made by winner. Sponsor will not replace any lost, mutilated, or stolen prize.

Winner is solely responsible for all applicable federal, state, and local taxes, fees, and any other costs associated with prize acceptance and use not specifically stated herein. If the ARV of a prize is $600 or more in a calendar year, winner will be required to provide Sponsor with a completed Form W-9 (or equivalent) prior to prize delivery, and Sponsor will issue an IRS Form 1099 as required by law.

6. Winner Selection & Notification

A potential winner will be selected in a random drawing from among all eligible entries for that Monthly Giveaway Cycle, conducted by Sponsor or its designated representative within five (5) business days after the applicable Entry Period ends. The odds of being selected depend on the number of eligible entries received.

The potential winner will be notified by email at the address used to enter. Potential winner must confirm within three (3) calendar days of the date notification is sent, and may be required to sign and return an affidavit of eligibility, liability release, and (where lawful) a publicity release, in order to claim the prize. If a potential winner cannot be reached, fails to confirm within the required time period, is found ineligible, or fails to comply with these Official Rules, they will be disqualified and Sponsor will select an alternate winner from the remaining eligible entries for that cycle, time permitting, or the prize may go unawarded for that cycle.

Winners may be announced publicly (e.g., via Sponsor's email newsletter or social media channels) using first name and last initial, or as otherwise permitted by applicable law and the winner's consent.

7. Publicity Release

Except where prohibited by law, acceptance of a prize constitutes each winner's consent for Sponsor to use their name, city/state of residence, and statements regarding the Promotion for advertising and promotional purposes, in any and all media now known or hereafter devised, worldwide, without further compensation, notification, or permission, except where prohibited by law. Where required by law, this consent will be requested separately and participation or prize receipt will not be conditioned on granting it.

8. General Conditions

• Sponsor reserves the right, in its sole discretion, to cancel, suspend, modify, or terminate this Promotion, or these Official Rules, at any time, including if fraud, technical failures, or any other factor beyond Sponsor's reasonable control impairs the integrity of the Promotion, subject to applicable law.

• Sponsor reserves the right to disqualify any individual it finds, in its sole discretion, to be tampering with the entry process or the operation of the Promotion, to be acting in violation of these Official Rules, or to be acting in an unsportsmanlike or disruptive manner.

• Sponsor is not responsible for any technical malfunction, human error, lost or unavailable network or internet connections, or any combination thereof, including any injury or damage to any person's computer or mobile device related to or resulting from participation in this Promotion.

• By entering, participants agree to release, discharge, and hold harmless Sponsor and its parent, subsidiaries, affiliates, and each of their respective officers, directors, employees, and agents from any and all liability, injury, loss, or damage of any kind arising from or in connection with participation in the Promotion or the receipt, use, or misuse of any prize, to the maximum extent permitted by law.

• These Official Rules cannot be modified except by Sponsor, and any attempt to do so, other than by Sponsor, is void.

9. Data Collection & Privacy

Personal information collected in connection with this Promotion (such as email address) will be used by Sponsor to administer the Promotion, notify winners, and for other marketing purposes consistent with Sponsor's Privacy Policy, available at layrite.com. By entering, participants agree to Sponsor's collection and use of their information as described there and in these Official Rules.

10. Disputes & Governing Law

This Promotion is governed by, and will be construed in accordance with, the laws of the State of California, without regard to its conflict-of-laws principles. As a condition of participating in this Promotion, participant agrees that any and all disputes that cannot be resolved between the parties, and causes of action arising out of or connected with this Promotion, will be resolved individually, without resort to any form of class action, exclusively before a court located in Orange County, California, and participant further agrees to submit to the personal jurisdiction of such court for the purposes of litigating any such dispute.

11. Severability

If any provision of these Official Rules is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect, and the invalid or unenforceable provision will be deemed modified to the minimum extent necessary to make it valid and enforceable.
